1. Agreement to these terms

These terms are an agreement between you (the merchant) and ShoppyInc, Inc. ("ShoppyInc", "we", "us"). By creating an account or using the platform, you agree to them. You must be at least 18 years old and able to form a binding contract, and if you accept on behalf of a business, you represent that you have authority to bind it.

2. The service

ShoppyInc is a commerce platform: hosted storefronts, product and inventory management, checkout, payment processing, shipping labels, marketing tools, and analytics, operated at shoppyinc.com. Payment processing is provided through Stripe, our payments processor of record; by selling on the platform you also agree to the Stripe Connected Account Agreement, including the Stripe Services Agreement.

3. Fees

Our pricing is commission-only. We charge a fee on each sale processed through the platform, and nothing else. Your rate is determined by your trailing-30-day sales volume, recalculated nightly:

3.1 Rate changes

Rate decreases (you grew into a better bracket) apply automatically, no later than the day after you cross a threshold. Rate increases (your volume dropped below your current bracket) apply only after 60 consecutive days below the threshold — the "ratchet rule". If your volume recovers during those 60 days, you keep the better rate.

3.2 What we will never charge for

The following are contractually free. We will not introduce fees for:

  • A monthly subscription
  • A setup fee
  • A fee to use third-party payment methods alongside our processor
  • A "platform fee" or "marketplace fee" on top of our commission
  • A fee for refunds, voids, or customer-initiated chargebacks (the card network’s $15 dispute fee passes through at cost, never marked up)
  • A fee for closing your store or exporting your data
  • A fee for additional staff members
  • A fee per business location
  • Currency-conversion fees beyond our processor’s 1% pass-through

3.3 Optional add-ons

Certain optional services carry usage-based fees, disclosed before you enable them: instant payouts (1% of the withdrawal), SMS marketing ($0.012 per message), dedicated SMS numbers ($25/month), email marketing beyond the free 50,000 messages/month ($1 per 1,000), and premium themes (one-time purchase). Ignoring all of them costs nothing.

4. Payments, payouts, and reserves

  • Funds from a sale generally become available two business days after the charge clears, per our processor's rolling availability window.
  • Standard payouts to your verified bank account are free and arrive in 1–3 business days. Instant payouts (minutes) carry a 1% fee.
  • New stores are subject to a 7-day rolling reserve for their first 60 days. We may apply risk-based reserves to accounts with elevated dispute or fraud rates; any reserve is shown in your dashboard with a written explanation and an automatic release schedule.
  • You must provide accurate identity and bank information and keep it current. We may withhold payouts where required by law, by our processor, or to investigate suspected fraud.

5. Refunds

When you refund an order (fully or partially), the merchandise amount is returned to your customer and debited from your balance. Processing the refund is free. The commission from the original charge is retained and is not refunded, proportionally or otherwise — the same behavior as other card-based processors. The refund flow shows you both amounts before you confirm.

6. Chargebacks

If a customer disputes a charge, the disputed amount plus the card network's $15 dispute fee are debited from your balance. The $15 is a pass-through at cost — we do not mark it up or add our own dispute fee. We surface an evidence-submission form with a countdown to the network deadline. If the dispute resolves in your favor, the disputed amount is credited back; the network does not return the $15 fee.

7. Acceptable use

You may not use the platform to:

  • sell goods or services that are illegal in your jurisdiction or your customer's, counterfeit, stolen, or that infringe others' intellectual property;
  • sell categories prohibited by our processor or the card networks (including weapons, recreational drugs, and adult content where restricted);
  • engage in fraud, money laundering, transaction laundering for another business, or deceptive marketing;
  • abuse the platform itself — probing or disrupting infrastructure, scraping other merchants' data, or circumventing fees.

We may remove listings or suspend accounts that violate this section, subject to the protections in Section 8.

8. Suspension, termination, and the 90-day protection

8.1 Account-closure protection

Once your store has been in good standing for more than 90 days, it is protected from automated suspension: we will not suspend or terminate a protected store by algorithm alone. Any suspension of a protected store requires review by a human member of our staff and a documented reason, which we will share with you except where prohibited by law. "Good standing" means no unresolved material violation of Section 7, no excessive dispute rate, and no legal or processor mandate against the account.

8.2 Suspension

We may suspend an account while investigating suspected fraud, a legal requirement, or a processor mandate. During suspension we hold funds only as long as necessary to resolve the issue and to cover in-flight refunds and disputes.

8.3 Closing your account

You may close your store at any time, free of charge. We provide a full export of your data (products, orders, customers) at no cost, before or after closure. Remaining balance is paid out on the standard schedule after the dispute window on your recent sales passes. We retain records we are legally required to keep (see the Privacy policy).

9. Your content and data

You own your store's content — products, images, copy, customer relationships, and order history. You grant us the license needed to host, display, back up, and transmit that content to operate the service. You are responsible for having the rights to what you upload, and for your own legal obligations to your customers (including your privacy policy, consumer-protection rules, and product compliance).

10. Taxes

You are responsible for your own taxes — determining, collecting, and remitting sales tax, VAT, or equivalents on your sales, and for income tax on your earnings. We provide tax-calculation tooling and, for US merchants over the IRS threshold, 1099-K reporting, but we are not your tax advisor.

11. Disclaimers

The platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation, or any particular sales outcome for your store.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total aggregate liability arising out of these terms is limited to the total fees you paid us in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability that cannot be limited by law, or our obligation to pay out your merchant balance.

13. Changes to these terms

If we change these terms, we will update the "last updated" date above. Material changes — including any change to Section 3.2 or Section 8.1 — will be announced in the admin and by email at least 30 days before they take effect. Continuing to use the platform after the effective date constitutes acceptance.

14. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction over disputes arising from these terms, and each party consents to their jurisdiction.
